PPC Service Agreement

1. Acceptance of Terms
By clicking “Subscribe & Agree,” or otherwise electing a Wix Pricing Plan for PPC services, you confirm that you have read, understood, and agree to be bound by this Service Agreement (the “Agreement”).
 

2. Scope of Services
Fjord Social Inc. (“Fjord”) will provide the following PPC (Google Ads) Management services, as included in your chosen Pricing Plan tier (A-G):

 

  • Monthly Ad Budget Management

    Oversight and optimization of your Google Ads spend—ranging from $500 to $25,000+ per month, according to tier.
     

  • Initial Estimate Report

    Baseline projections for clicks, conversions, and budget pacing.
     

  • Landing Page Recommendations

    Advice on page structure, messaging, and calls-to-action to maximize Quality Score and conversions.
     

  • Keyword Deployment

    Campaign creation and ongoing management of 150–800 keywords (depending on your package).
     

  • Monthly Reporting

    Detailed performance reports covering spend, clicks, conversions, ROAS, and insights; regularly monthly meeting is provided if desired.
     

  • Conversion Tracking Setup

    Installation and validation of conversion actions in Google Ads (forms, purchases, calls).
     

  • Google Analytics Configuration

    Ensure Analytics is properly linked, goals are tracked, and data flows back into Ads.
     

  • Daily Campaign Management

    Bid adjustments, budget pacing, schedule optimizations, and ad refinements every business day.
     

  • ROI Management

    Ongoing bid strategy and audience targeting to hit your target cost-per-acquisition or ROAS.
     

  • Remarketing Campaigns

    Setup and manage audiences for display, search, and social remarketing.
     

  • Custom Monthly Reports

    Tailored dashboards or PDFs highlighting the metrics that matter most to your business.
     

  • Email, Chat & Phone Support

    Direct access to your account team via email, live chat, or phone during business hours.

     

  • All features, volumes, and fees are governed by the specific package you select in the Pricing Plan.

 

3. Cancellation Policy

The Client may terminate PPC management at any time, without advance notice, by either:
- Self-deactivation via their ad-platform login or account management interface, or
- Emailing their assigned account representative.

Best practice: To avoid any need for reimbursements, deactivate your PPC campaign before the start of a new billing cycle. Once deactivated, campaign spend halts immediately and no further management fees will accrue.


4. Performance Disclaimers

No Control Over Ad Platforms: Outcomes (impressions, clicks, conversions) are governed by Google Ads and other networks; Fjord cannot guarantee specific ROAS, Quality Scores, or ad approvals.
Results Not Guaranteed: While best-practice strategies are employed, cost-per-acquisition, conversion rates, and other metrics cannot be assured.
 

  • Client Interfacerence in PPC Management
    Fjord Social Inc. will provide PPC optimization and management services based on industry best practices. The Client retains ownership of their ad account, but any manual changes made by the Client or third parties during the management term may affect performance outcomes. Fjord Social Inc. will not be held responsible for poor performance or budget inefficiencies resulting from such interference. Time spent correcting Client-made changes may be billed additionally.


5. Out-of-Scope Work

Any requests outside the agreed PPC deliverables (e.g., landing-page design, full-site development, non-PPC marketing, extensive graphic or UX design) will be billed at Fjord’s standard hourly rate and proceed only after Client email approval.


6. Client Responsibilities

Provide timely access to website CMS, analytics, and ad accounts, plus required credentials.
Approve strategies, budgets, and creative assets within five (5) business days.
Maintain a valid payment method on file with each ad platform.
Delays beyond ten (10) business days may incur administrative fees at Fjord’s discretion.


7. Change Orders

Any alteration to scope, budgets, or platforms must be documented in a written Change Order. Both parties must approve revised deliverables, timelines, and fees before work proceeds.


8. Fees & Payment

Management fees and retainers are due on or before each invoice’s due date. All retainers and deposits are non-refundable. Late payments incur interest at 2% per month, compounded monthly, plus collection costs.


9. Notices

All notices under this Agreement must be in writing and delivered by email to support@fjordsocial.com or to the Client’s assigned account representative.


10. Changes to Terms

Fjord may revise these Terms from time to time. Whenever revised, we will update the “Last updated” date above. Continued subscription or use of Services after that date constitutes acceptance of the revised Terms.


11. Intellectual Property

Upon full payment, the Client is granted all rights to bespoke deliverables (e.g., ad copy, graphics). Fjord retains ownership of proprietary processes, methodologies, and software used in service delivery.


12. Confidentiality

Both parties agree to keep confidential any non-public information exchanged during the engagement, including strategies, performance data, financials, and analytics.


13. Limitation of Liability

Fjord’s total liability under or in connection with this Agreement shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim. Fjord is not liable for any indirect, incidental, or consequential damages.
